Pre-Order Terms & Conditions
Pre-Order Terms & Conditions
Effective Date: 18 September, 2026
Havoc offers selected sports, fitness, sporting goods, equipment, and other products on a pre-order basis where such products are not immediately available for regular delivery in Bangladesh.
Pre-order products may require advance confirmation, international sourcing, importation, transportation, customs processing, and other arrangements before delivery.
By placing a pre-order with Havoc, the customer confirms that they have reviewed and understood the applicable product information, estimated delivery timeframe, pricing conditions, payment requirements, and the terms and conditions outlined below.
1. Pre-Order Confirmation
A pre-order will only be considered confirmed after:
The customer has reviewed the product details;
The applicable estimated delivery timeframe has been communicated;
The applicable pricing and payment conditions have been explained;
The customer has accepted these Pre-Order Terms & Conditions; and
The required advance payment has been received.
Havoc may request additional confirmation or information before initiating the applicable pre-order process.
2. Advance Payment
A 70% advance payment of the total confirmed pre-order value is required to initiate a pre-order.
The remaining 30% balance will be payable according to the payment terms communicated by Havoc before or at the time of delivery.
For certain products or circumstances, Havoc may communicate different payment requirements before accepting the order.
Once the pre-order has been confirmed and the applicable procurement or import process has commenced, the advance payment may become non-refundable, except where a refund is required under applicable law or Havoc expressly agrees otherwise.
3. Delivery Timeframe
Pre-order delivery times vary from product to product.
Before confirming a pre-order, Havoc will communicate the estimated delivery timeframe applicable to that specific product.
Customers should carefully review and understand the estimated timeframe before confirming the pre-order.
The communicated timeframe is an estimated delivery period and not an unconditional guaranteed delivery date, unless Havoc has expressly provided a written guarantee for that specific order.
Delivery may take longer due to circumstances including:
International transportation;
Import procedures;
Customs processing;
Product availability;
Logistics disruptions;
Government restrictions;
Weather conditions;
Natural disasters; or
Other circumstances beyond Havoc’s reasonable control.
4. Product-Specific Delivery Time
Different products may have substantially different sourcing, transportation, importation, and preparation requirements.
Therefore, Havoc does not apply one fixed delivery timeframe to all pre-order products.
Customers must confirm the applicable estimated timeframe for the specific product they wish to order and should proceed only if that timeframe is acceptable to them.
By confirming a pre-order after receiving the estimated timeframe, the customer acknowledges and accepts that timeframe as an estimate, subject to the circumstances described in these terms.
5. Currency Exchange Rate and Price Adjustment
Pre-order products may involve international transactions and costs that are affected by foreign currency exchange rates.
Because exchange rates may fluctuate between the date of quotation, order confirmation, international procurement, importation, and final settlement, the final product cost may be affected by changes in the applicable exchange rate.
Where the quoted price is expressly identified as exchange-rate dependent, provisional, or subject to currency adjustment, Havoc reserves the right to reasonably revise the product price to reflect a material change in the applicable exchange rate or directly related international procurement cost.
Any applicable price adjustment will be communicated to the customer before the final balance is collected or before delivery, as reasonably applicable.
The customer acknowledges that a currency-related price adjustment does not constitute a failure by Havoc to honor the pre-order, provided that the adjustment is made in accordance with the terms communicated at the time of confirmation.
6. International Freight, Import, and Related Cost Changes
Pre-order products may be affected by changes in:
International freight charges;
Transportation costs;
Customs-related charges;
Import duties or taxes;
Government charges;
Port or terminal charges;
Handling charges;
Storage charges;
Exchange rates; and
Other costs directly associated with importing the product.
Where such costs are not fixed or are outside Havoc’s reasonable control at the time of quotation, the applicable amount may be adjusted accordingly.
Any material additional cost that must be borne by the customer will be communicated before it becomes payable, where reasonably possible.
7. Customs, Import, and Regulatory Delays
Estimated delivery times may be affected by customs clearance, import procedures, regulatory requirements, documentation, inspections, government decisions, or other import-related circumstances.
Havoc will make reasonable efforts to complete the applicable processes. However, the timing and decisions of government authorities, customs authorities, ports, carriers, or regulatory bodies are outside Havoc’s direct control.
Delays arising from such circumstances will not automatically entitle the customer to compensation, damages, penalties, or loss-of-profit claims.
8. Natural Disasters and Force Majeure
Havoc will not be responsible for loss, damage, delay, or inability to complete a pre-order to the extent caused by circumstances beyond its reasonable control.
Such circumstances may include:
Flood;
Cyclone;
Storm;
Earthquake;
Fire;
Natural disaster;
War;
Civil unrest;
Political disturbance;
Strike;
Transportation disruption;
Port closure;
Government restriction;
Import restriction;
Major logistics disruption;
Accident;
Epidemic or pandemic-related disruption;
International shipping disruption; or
Other extraordinary circumstances beyond Havoc’s reasonable control.
Where a confirmed pre-order product is lost or damaged during an international or domestic transportation process due to such circumstances, Havoc will take reasonable steps to investigate and determine the appropriate commercial resolution based on the circumstances, available documentation, insurance or transportation recovery where applicable, product availability, and applicable legal requirements.
Such circumstances will not create an automatic entitlement to compensation, damages, demurrage, loss of business, loss of profit, or other consequential claims against Havoc.
9. No Compensation for Consequential Loss
Unless otherwise required by applicable law, Havoc will not be liable for indirect or consequential losses arising from a pre-order delay or disruption, including:
Loss of business;
Loss of profit;
Missed commercial opportunity;
Event-related loss;
Rental or replacement costs;
Penalties imposed by the customer’s own customers;
Loss resulting from a missed deadline; or
Other consequential financial losses.
Customers placing pre-orders for tournaments, events, commercial projects, business commitments, or fixed deadlines should allow sufficient additional time for unforeseen delays.
10. Customer Delay and Failure to Receive
Once Havoc notifies the customer that the product is ready for delivery or collection, the customer must complete the applicable balance payment and delivery or collection arrangements within the communicated timeframe.
If the customer delays:
Final payment;
Delivery confirmation;
Providing the correct address;
Providing required documents or information;
Accepting delivery;
Arranging access to the delivery location; or
Collecting the product;
any resulting additional transportation, storage, handling, re-delivery, warehouse, port, or other reasonable charges may be payable by the customer.
11. Storage and Demurrage
Where a customer-related delay results in additional storage, demurrage, warehouse, detention, handling, transportation, or related charges, such costs may be charged to the customer.
This may apply where the customer:
Delays final payment;
Refuses or postpones delivery;
Fails to provide required information;
Is unavailable to receive the product;
Requests an unnecessary delivery delay;
Fails to arrange access to the delivery location; or
Otherwise causes or materially contributes to the additional cost.
The customer acknowledges that such charges may be imposed by third-party logistics, transportation, storage, port, or other service providers and may therefore vary according to the actual cost incurred.
12. Customer-Requested Delivery Delay
If the customer requests that Havoc hold or delay delivery after the product becomes ready, Havoc may approve the request subject to product storage capacity and applicable charges.
Any additional storage, transportation, handling, insurance, or related costs resulting from the requested delay may be payable by the customer.
Havoc may also require the outstanding balance to be paid before agreeing to hold the product.
13. Customer Cancellation
Because a pre-order may involve product procurement, international sourcing, importation, transportation, or other commitments specifically made in connection with the customer’s order, cancellation after confirmation may be restricted.
Once the pre-order process has commenced, the customer may not automatically cancel the order simply because:
The customer has changed their mind;
The product is taking longer than expected within the communicated estimated timeframe;
The customer no longer requires the product;
The customer has found another product;
The exchange rate has changed; or
The customer no longer wishes to proceed.
Any cancellation request will be reviewed according to the circumstances and applicable law.
Where cancellation is accepted, any directly incurred and non-recoverable costs may be deducted from an eligible refund.
14. Product Specification Changes
Manufacturers may occasionally update product models, specifications, packaging, accessories, colors, dimensions, or other product details.
Where a manufacturer makes a material change before fulfillment, Havoc may communicate the change to the customer and determine an appropriate solution based on the nature of the change and the applicable circumstances.
Minor packaging, labeling, accessory, or cosmetic changes that do not materially alter the product’s intended functionality may not constitute grounds for cancellation.
15. Product Availability
Pre-order availability is subject to the continued availability of the requested product, model, specification, and applicable import or distribution conditions.
If the requested product becomes unavailable, discontinued, restricted, or otherwise cannot reasonably be obtained, Havoc may offer an alternative product or an appropriate refund arrangement depending on the circumstances.
16. Battery and Battery-Powered Products
Havoc does not accept pre-orders for products containing batteries or products classified as battery-powered, battery-dependent, or subject to applicable battery transportation or import restrictions.
This restriction may include products containing:
Lithium batteries;
Rechargeable batteries;
Built-in batteries;
Removable batteries;
Battery packs; or
Other restricted battery-based power systems.
Customers must disclose any relevant product requirements before confirming a pre-order.
Havoc reserves the right not to accept or to cancel a pre-order where the product is subsequently determined to fall within a restricted battery category or cannot reasonably be transported or imported through the applicable logistics channel.
17. Product Loss or Damage During Extraordinary Circumstances
Where a pre-order product is lost, destroyed, or materially damaged due to an extraordinary event beyond Havoc’s reasonable control, including natural disasters, major transportation accidents, war, government restrictions, port closures, or other force majeure circumstances, Havoc will take reasonable steps to investigate and determine the available resolution.
The customer acknowledges that Havoc will not be responsible for automatic compensation for consequential or indirect losses arising from such circumstances.
Any recovery, replacement, refund, insurance claim, or other resolution will depend on the circumstances, applicable transportation arrangements, recoverability of funds, product availability, and applicable legal requirements.
18. Payment of Remaining Balance
The remaining balance must be paid according to the payment terms communicated by Havoc.
Where the customer fails to pay the remaining balance after the product becomes ready for delivery, Havoc may:
Delay delivery;
Apply applicable storage or handling charges;
Require payment before further delivery arrangements;
Cancel the order subject to the applicable terms; or
Take another commercially reasonable action permitted by law.
19. Delivery and Installation Charges
The quoted pre-order price does not automatically include installation, assembly, special transportation, additional manpower, difficult-access delivery, or other services unless specifically stated.
For large or technical products, applicable delivery and installation conditions will be communicated separately where necessary.
20. Wholesale, Corporate, and Bulk Pre-Orders
Wholesale, corporate, institutional, team, gym, club, and bulk pre-orders may be subject to additional commercial terms.
Such terms may include:
Higher advance payment requirements;
Specific delivery schedules;
Quantity commitments;
Customized pricing;
Separate transportation arrangements;
Customized products;
Special cancellation conditions; and
Other conditions stated in the quotation or commercial agreement.
Where specific written commercial terms are agreed, those terms will apply to the relevant order to the extent permitted by applicable law.
21. No Guaranteed Availability of Replacement
For imported or special-order products, replacement stock may not always be immediately available.
If an approved replacement cannot reasonably be provided, Havoc may determine an appropriate alternative resolution based on product availability, manufacturer information, applicable payment terms, and the circumstances of the case.
22. Customer’s Responsibility to Review the Terms
Before confirming a pre-order, the customer is responsible for reviewing:
Product specifications;
Product compatibility;
Size and dimensions;
Quantity;
Color or model;
Estimated delivery timeframe;
Payment requirements;
Delivery requirements;
Applicable warranty;
Return and refund conditions; and
Any special conditions communicated by Havoc.
By making the required advance payment, the customer confirms that they have understood and accepted the applicable pre-order conditions.
23. Order Documentation
The quotation, invoice, order confirmation, product page, payment confirmation, and these Pre-Order Terms & Conditions may collectively form the applicable commercial terms of the order.
Where a specific written term in a quotation or order confirmation differs from a general website policy, the specific written term may apply to that order, subject to applicable law.
24. Changes to Pre-Order Terms
Havoc may update these Pre-Order Terms & Conditions from time to time.
The terms applicable to a confirmed pre-order will generally be the terms accepted at the time of confirmation, unless a change is required by law or mutually agreed between Havoc and the customer.
25. Acceptance of Pre-Order Terms
By paying the required advance amount and confirming a pre-order, the customer acknowledges that:
The product is being ordered on a pre-order basis.
A 70% advance payment is required unless otherwise agreed in writing.
The delivery timeframe is product-specific and estimated.
International currency and related costs may affect the final price where the quotation is identified as subject to adjustment.
Import, customs, transportation, and other external processes may cause delays.
Customer-caused delays may result in additional charges.
Customized, special-order, and pre-order products may have restricted cancellation and return rights.
Extraordinary circumstances beyond Havoc’s reasonable control may affect delivery, product condition, or availability.
Havoc will not be liable for consequential losses or damages to the extent permitted by applicable law.
The customer has reviewed and accepted these Pre-Order Terms & Conditions before confirming the order.
26. Applicable Law
These Pre-Order Terms & Conditions shall be interpreted and governed in accordance with the applicable laws of Bangladesh.
Nothing in these terms is intended to exclude or restrict any right or remedy that cannot lawfully be excluded or restricted under applicable law.
